1. Agreement

These Terms of Use (‘Terms’) constitute a legally binding agreement between you (‘you’, ‘user’, ‘licensee’) and Universally Found, LLC, a Virginia limited liability company (‘Universally Found’, ‘we’, ‘us’, ‘our’), governing your access to and use of the WP Canary WordPress plugin (‘Plugin’) and the website getwpcanary.com (‘Site’).

By downloading, installing, activating, or using the Plugin, or by accessing the Site, you agree to be bound by these Terms. If you do not agree, do not use the Plugin or the Site.

2. The plugin — what WP Canary does and does not do

WP Canary is a WordPress plugin that monitors selected aspects of a WordPress installation — including database table health, plugin activity, 404 error rates, debug log content, ad network script delivery, and plugin licence status — and presents findings via an in-dashboard interface and, for Pro users, a scheduled email digest.

WP Canary is a monitoring and alerting tool. It does not:

• Guarantee the uptime, performance, or security of your WordPress site
• Prevent plugin conflicts, database corruption, or site failures
• Back up your site or its data
• Repair, fix, or modify any aspect of your WordPress installation
• Guarantee the accuracy, completeness, or timeliness of any alert or report it generates

You are solely responsible for acting on information provided by the Plugin and for maintaining appropriate backups of your site and data.

3. Licence

3a. Free tier

Subject to these Terms, Universally Found grants you a limited, non-exclusive, non-transferable, revocable licence to install and use the free version of WP Canary on a single WordPress installation for personal or commercial purposes.

3b. Pro licence

Upon purchase of a Pro licence through Freemius, Universally Found grants you a limited, non-exclusive, non-transferable licence to install and use the Pro version of WP Canary on a single WordPress installation (‘Licensed Site’). A separate licence is required for each additional WordPress installation on which you wish to use the Pro version.

3c. Licence restrictions

You may not, and may not permit others to:

• Install or activate the Plugin on more sites than your licence covers
• Sublicence, sell, resell, transfer, assign, or otherwise dispose of your licence or any rights under it
• Copy, modify, adapt, translate, reverse engineer, decompile, or disassemble the Plugin except as permitted by applicable law
• Remove or alter any proprietary notices, labels, or marks on the Plugin
• Use the Plugin in any way that violates applicable laws or regulations
• Use the Plugin to monitor websites you do not own or have explicit authority to administer

3d. Permitted use

You may install the Plugin on a legitimate, actively operated WordPress website. Use in temporary, test, staging, or development environments is permitted provided such environments are not presented to third parties as production sites under a single-site licence.

4. Purchasing and payment

Pro licences are sold through Freemius, our third-party e-commerce partner. By purchasing a Pro licence, you agree to Freemius’s Terms of Service and Privacy Policy in addition to these Terms. All payment processing is handled by Freemius. Universally Found does not store your payment card information.

Prices are displayed in US dollars and are subject to change. Changes to pricing do not affect existing active licences during their current term.

5. Licence renewal and expiry

Annual Pro licences renew automatically at the then-current renewal price unless cancelled before the renewal date. Cancellation can be managed through your Freemius account. Upon expiry or cancellation of a Pro licence, the Plugin will revert to free tier functionality. Your settings and historical data stored in your WordPress database are preserved and not deleted upon licence expiry.

6. Refunds

We offer a 14-day refund policy on Pro licence purchases. If you are not satisfied with WP Canary Pro for any reason, contact us within 14 days of your purchase date at getwpcanary.com/contact and we will process a full refund. Refunds are processed through Freemius and may take 5–10 business days to appear depending on your payment method and financial institution.

Refunds are not available after 14 days from the original purchase date. Renewal payments are eligible for a refund within 7 days of the renewal date if requested before the Plugin has been used in the renewed term.

7. Disclaimer of warranties

THE PLUGIN AND SITE ARE PROVIDED ‘AS IS’ AND ‘AS AVAILABLE’ WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UNIVERSALLY FOUND, LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE PLUGIN WILL MEET YOUR REQUIREMENTS OR OPERATE WITHOUT INTERRUPTION OR ERROR
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY MONITORING DATA, ALERT, OR REPORT GENERATED BY THE PLUGIN
• WARRANTIES THAT ANY DEFECT IN THE PLUGIN WILL BE CORRECTED

Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the above exclusions apply to the maximum extent permitted by law.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UNIVERSALLY FOUND, LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL
• SITE DOWNTIME, DATA LOSS, OR SECURITY BREACH
• DAMAGES ARISING FROM YOUR RELIANCE ON OR FAILURE TO ACT ON ANY ALERT, REPORT, OR DIAGNOSTIC OUTPUT FROM THE PLUGIN

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT UNIVERSALLY FOUND HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL UNIVERSALLY FOUND’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE PLUGIN EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID FOR THE PLUGIN IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) FIFTY US DOLLARS ($50).

Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, the above limitations apply to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Universally Found, LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Plugin or Site in violation of these Terms; (b) your violation of any applicable law or regulation; or (c) your infringement of any third-party right.

10. Intellectual property

The Plugin, Site, and all content, features, and functionality thereof — including but not limited to text, graphics, logos, and code — are owned by Universally Found, LLC or its licensors and are protected by United States and international intellectual property laws.

These Terms do not transfer any intellectual property rights to you. You may not use the WP Canary name, logo, or branding without prior written permission from Universally Found, LLC.

11. Third-party services

The Plugin integrates with and the Site links to third-party services including Freemius (payment and licensing) and MailerLite (email delivery). These services are governed by their own terms and privacy policies. Universally Found is not responsible for the practices of any third-party service.

12. Updates and support

Pro licence holders receive access to Plugin updates and priority support for the duration of their active licence term. Universally Found reserves the right to modify, update, or discontinue the Plugin or any feature thereof at any time with or without notice, provided that material changes affecting Pro features will be communicated via email to active licence holders where practicable.

Free tier users receive Plugin updates but are not entitled to priority support. Support for free tier users is provided on a best-efforts basis via the documentation at getwpcanary.com/docs.

13. Termination

Universally Found may terminate or suspend your licence immediately, without prior notice or liability, if you breach any provision of these Terms. Upon termination, your right to use the Plugin ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 7, 8, 9, 10, 14, and 15.

14. Governing law and dispute resolution

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law principles.

Any dispute arising from or relating to these Terms or your use of the Plugin shall first be subject to good-faith negotiation between the parties. If not resolved within 30 days, disputes shall be submitted to binding arbitration in Virginia in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction in Virginia.

You waive any right to participate in a class action lawsuit or class-wide arbitration against Universally Found, LLC.

15. General provisions

• Entire agreement — These Terms, together with our Privacy Policy, constitute the entire agreement between you and Universally Found with respect to the Plugin and Site and supersede all prior agreements.
• Severability — If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• No waiver — Failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.
• Assignment — You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Notices — Notices to Universally Found should be sent via getwpcanary.com/contact. We may provide notices to you via the email address associated with your licence or by posting on the Site.

16. Changes to these Terms

We reserve the right to modify these Terms at any time. When we do, we will update the ‘Last updated’ date at the top of this page. For material changes, we will notify active Pro licence holders via email where practicable. Continued use of the Plugin or Site after updated Terms are posted constitutes your acceptance of the changes.
